By the present procurement procedure, EIT Urban Mobility (hereinafter being referred to as “EIT UM”) launches a call for Expression of Interest to create a Pool of Legal Experts (hereinafter being referred to as “Expert”) to advise on corporate law with regard to EIT UM’s investment activities.
These general conditions govern the appointment of legal experts to support EIT Urban Mobility in investment transactions across different areas, which are organised into distinct Lots. Within each Lot, two work packages (WPs) will apply accordingly.
Across all Lots, the scope includes two main work packages:
Work Package 1: Transactional Legal Support, covering end-to-end legal advisory throughout investment transactions, such as drafting, negotiating, and finalizing agreements, ensuring compliance with administrative requirements, and advising on shareholder rights, governance, and corporate decisions; and
Work Package 2: Ad hoc Legal Advisory Services, providing specialized legal support for existing portfolio companies in situations such as acquisitions, mergers, restructuring, or insolvency, including risk assessment, documentation review, tax considerations, and strategic guidance to support decision-making.
Experts must submit a separate application for each Lot for which they wish to be considered.
